Stricter Rules from January 1, 2025<\/strong><\/p>\n

Starting from January 1, 2025, any party \u2013 even a competitor \u2013 may initiate a legality supervision procedure<\/strong> if the financial statements are not publicly available. We previously discussed these changes in detail:

\u00a0<\/strong>Why is publication important?<\/strong><\/p>\n

A publicly available financial statement allows authorities, business partners, creditors, and investors<\/strong> to assess the company\u2019s financial position. This requirement applies to all Hungarian companies<\/strong> that use double-entry bookkeeping<\/strong> and are registered in the company register.<\/p>\n

\u00a0<\/strong>Only Approved Financial Statements Can Be Submitted<\/strong><\/p>\n

Financial statements must be approved by the company\u2019s supreme body (e.g. shareholders\u2019 meeting). Only the approved version can be published. If approval is postponed for any reason, the submission cannot be completed \u2013 even if the legal deadline expires in the meantime.<\/p>\n

\u00a0<\/strong>How to Submit?<\/strong><\/p>\n

Statements must be filed electronically through the OBR system (Online Reporting and Form Filling System)<\/strong> using an official digital access point (Client Gateway \u2013 “\u00dcgyf\u00e9lkapu”, or the Digital Citizenship Program \u2013 DAP).
\nImportant: without a valid digital contact address, submission is not possible<\/strong>.<\/p>\n

After successful submission, the OBR system issues a confirmation, and the report appears on e-beszamolo.im.gov.hu<\/a>, fulfilling the filing and publication obligation.<\/p>\n

\u00a0<\/strong>Deadline<\/strong><\/p>\n

The annual report must be published within five months<\/strong> following the balance sheet date.
\nFor calendar-year companies, this is May 31<\/strong>.
\nIf the business year ends on a different date (e.g. June 30), the deadline will be November 30<\/strong>.<\/p>\n

\u26a0\ufe0f The submission must be completed by the deadline \u2013 not just the approval.<\/strong><\/p>\n

What Happens If the Report Is Not Submitted?<\/strong><\/p>\n

The Hungarian Tax Authority (NAV) follows a three-step procedure:<\/p>\n

    \n
  1. First notice<\/strong> \u2013 30 days to comply, no fine yet.<\/li>\n
  2. Second notice<\/strong> \u2013 another 30 days, HUF 200,000 fine<\/strong> (halved for reliable taxpayers).<\/li>\n
  3. Tax number deletion<\/strong> \u2013 NAV deletes the tax number and notifies the court if non-compliance continues.<\/li>\n<\/ol>\n

    After this, the company court initiates a compulsory dissolution<\/strong>, resulting in the termination of the company.<\/p>\n
